RankAI Terms of Service

These Terms of Service ("Terms") govern your access to and use of RankAI's website, platform, software, and services (collectively, the "Services"). The Services are operated by LineUpp, Corp. ("RankAI," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree, do not use the Services.

1. Services Overview

RankAI, operated by LineUpp, Corp., provides AI-assisted and human-guided search engine optimization services, which may include:

  • Website audits and technical SEO fixes
  • Keyword research and content strategy
  • AI-generated and human-reviewed content
  • Ongoing performance monitoring and reporting
  • Integrations with third-party tools (e.g., Google Search Console)

RankAI does not guarantee rankings, traffic, revenue, or specific SEO outcomes.

2. Eligibility

You must be at least 18 years old and have the authority to bind the entity you represent. By using the Services on behalf of a company, you represent that you have such authority.

3. Client Responsibilities

You agree to:

  • Provide accurate and complete information about your business and website
  • Grant RankAI necessary access (e.g., CMS, analytics, Search Console) to perform the Services
  • Ensure you have rights to all materials, content, and websites you provide
  • Maintain backups of your website and data

RankAI is not responsible for issues caused by inaccurate information, restricted access, or third-party platform limitations.

4. No Guarantees; Acknowledgment of Risk

You acknowledge and agree that:

  • Search engine algorithms and AI discovery systems are outside RankAI's control
  • SEO results are probabilistic, not deterministic
  • Rankings, impressions, clicks, and traffic may fluctuate or decline

RankAI expressly disclaims any guarantee of results, including but not limited to first-page rankings, traffic increases, or revenue growth.

5. Fees and Payments

  • Fees are billed in advance on a recurring basis unless otherwise stated in writing
  • All fees are non-refundable
  • Late or failed payments may result in suspension or termination of Services

You are responsible for all applicable taxes.

6. Intellectual Property

6.1 RankAI Intellectual Property

All software, workflows, systems, prompts, dashboards, methodologies, and internal processes used by RankAI remain the exclusive intellectual property of LineUpp, Corp.

6.2 Client Deliverables

Upon full payment, you own the final content delivered specifically for your website. RankAI retains the right to reuse anonymized data, generalized learnings, and non-client-specific outputs.

7. Third-Party Services

The Services may rely on or integrate with third-party platforms and providers. RankAI is not responsible for outages, errors, data loss, policy changes, or limitations caused by third-party services.

8. Confidentiality

Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party, except as required to perform the Services or as required by law.

9. Termination

Either party may terminate the Services in accordance with the applicable plan or agreement.

Upon termination:

  • Access to the Services may be revoked
  • Any unused service time is forfeited
  • Sections relating to intellectual property, disclaimers, limitation of liability, and indemnification survive termination

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

RANKAI AND LINEUPP, CORP. DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • RANKAI AND LINEUPP, CORP. SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO RANKAI IN THE THREE (3) MONTHS PRECEDING THE CLAIM

12. Indemnification

You agree to indemnify and hold harmless RankAI and LineUpp, Corp. from any claims, damages, or liabilities arising out of:

  • Your website, content, or business operations
  • Your misuse of the Services
  • Your violation of applicable laws or third-party rights

13. Modifications

RankAI may modify these Terms at any time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
